Cambridge Wireless (CW)
Cambridge Wireless Limited (CW) is a company limited by guarantee (Company Number: 06529916), registered at Peters Elworthy & Moore (PEM), Salisbury House, Station Road, Cambridge, CB1 2LA.

CW is a business membership organisation, set up and run by its members for their benefit in promoting advanced connectivity, digital and related technologies. These terms and conditions form the basis of the contract through which Cambridge Wireless (CW, we or us) will deliver services to you as a CW member (you).

On becoming a member of CW, you automatically agree to these terms and conditions and grant consent for CW to handle your personal information in accordance with applicable Data Protection legislation. By entering these Terms and Conditions you acknowledge that we will collect and process your personal data as necessary for our performance of these Terms and Conditions on the basis set out in our Privacy Policy in force from time to time and available on our website at: https://www.cambridgewireless.co.uk/cw-policies/privacy-and-data-protection-policy.html

These conditions govern the administrative provisions relating to membership and the benefits attaching to different categories of membership, subject always to the Articles of Association of Cambridge Wireless Limited.

1. Membership Levels
  1. CW offers the following membership categories, (as defined in the Articles of Association and acting as guarantors of the Company):
    • Associate Membership
    • Founder Membership

    CW operates a tiered, value‑based membership model within its membership categories namely:

    Associate Members

    • Digital (or Digital Students)
    • Connector (or Connector Students)

    Founder Members

    • Engager
    • Architect
    • Pioneer
  2. Membership tiers are not based on the number of employees a member has.
  3. Micro Businesses and Startups may be eligible for alternative pricing structures, applicable only to the lower three tiers, as defined and published by CW from time to time.
  4. Student Membership:
    • Is offered on an individual basis only, and not to companies or organisations.
    • Has a separate pricing structure, published on the CW website.
    • Is available only to individuals who meet CW’s eligibility criteria for student status.
    • Requires proof of valid student status at the point of joining and on an annual basis thereafter as a condition of continued membership.
    • May be suspended or terminated by CW unless satisfactory proof of student status is provided when requested.

  6. CW reserves the right to review and amend membership tiers, eligibility criteria, and pricing from time to time at its discretion.
2. Membership Benefits
  1. Company Memberships (Associate and Founder):
    • Membership is held on a company / firm-wide / organisation basis, and all employees of the member organisation are entitled to access the benefits associated with that organisation’s membership tier.
  2. Student Membership:
    • Benefits apply only to the individual student member.
    • Student benefits may differ from those offered to Company Members.
  3. Membership benefits for each tier are outlined on the CW website.
  4. CW reserves the right to review and amend all membership benefits at its discretion. Members will be notified of any material changes.
  5. CW Membership is non-transferrable and Membership benefits cannot be shared with legal entities / individuals who are not CW Members.
  6. The number of free places available at CW events is determined by the type of membership purchased. CW cannot guarantee places to members at every event and reserves the right to cancel a reservation and /or to cancel an event. CW will not be responsible for any wasted costs arising out of cancellation.
3. Membership Expressions of Interest and Applications
  1. Individuals and organisations wishing to join Cambridge Wireless must first submit an Expression of Interest via the CW website.
  2. Following submission of an Expression of Interest, the CW team will contact the prospective member to:
    • Discuss their organisation or individual circumstances
    • Provide guidance on the membership tier that offers the best value based on intended engagement and needs
  3. Submission of an Expression of Interest by a prospective member does not constitute acceptance of membership by CW.
  4. Membership applications are subject to review by CW, which reserves the right to accept or reject applications in its sole discretion.
  5. Company Members must nominate a Key Contact as part of the application process.
  6. Student Members apply in their own name and may be required to provide documentary evidence of student status at the point of joining and annually thereafter.
  7. Members may be invited to complete a profile for display on the CW website. CW accepts no responsibility for the accuracy of member‑provided content.
  8. Members must notify CW of any material changes, including but not limited to:
    • Change in organisation status or eligibility
    • Change of Key Contact (for company members)
    • Change of contact details

4. Membership Payments, Renewals and Cooling‑Off
  1. Membership fees become payable immediately upon acceptance of membership and annually thereafter on the anniversary of joining.
  2. Payment of renewal fees constitutes confirmation of continued acceptance of these terms and conditions.
  3. Membership is non‑transferable.
  4. Membership fees may be paid by:
    • Major credit cards (including AMEX)
    • BACS or CHAPS transfer
    • Direct Debit (where available and agreed with CW)
  5. Membership fees payable by Direct Debit may differ from fees payable by other payment methods. Any such differences will be communicated to members in advance of their renewal.
  6. CW reserves the right to make Direct Debit available only for certain membership tiers and/or to apply different pricing, payment schedules, or terms for Direct Debit payments at its discretion. Any variation in pricing associated with Direct Debit reflects administrative efficiencies or payment structure and does not alter the underlying membership benefits unless expressly stated.
  7. Where Direct Debit is used, members agree to maintain a valid Direct Debit instruction and ensure sufficient funds are available. CW reserves the right to suspend membership benefits where Direct Debit payments fail and are not promptly paid.
  8. New members benefit from a seven (7) working day cooling‑off period from the date of membership acceptance, during which membership may be cancelled in writing without penalty.
    • If cancelled within this cooling‑off period, membership will not commence and no further obligations will apply.
  9. Membership fees are non‑refundable, except where cancellation occurs within the cooling‑off period.
5. Member conduct
  1. As a Member you must conduct yourself, both publicly and privately, in a professional manner and not do anything, or permit anything to be done, that may cause any harm or loss to CW’s goodwill, reputation or professional standing.
  2. You must not do or permit anything to be done to any other CW Member, member of CW staff, CW consultant or contractor and/or any third party company or individual who is engaged by or on behalf of the CW or is closely connected to the CW that may in CW’s opinion be considered to be inappropriate, distressing, disrespectful, obscene, embarrassing or otherwise offensive.
  3. Your use of any online Membership Benefits or Services is conditional on your undertaking to not
    1. knowingly introduce any viruses to the CW website or CW’s mobile applications, including, without limitation https://www.cambridgewireless.co.uk and mobile applications and other CW managed websites and mobile applications as may be produced (together referred to as the “Website”) or any aspect of our Services;
    2. attack (or instigate or directly or indirectly facilitate an attack of) the Website or any aspect of the Services, whether via a DOS or DDOS attack or otherwise; or
    3. use the Website or Services for any purpose or in connection with any purpose which is or could reasonably be perceived to be inappropriate, unlawful, abusive, libellous, obscene or threatening.
6. Cancellation and Termination of Membership
  1. Members may cancel their membership at any time by providing written notice or email to membership@cambridgewireless.co.uk.
  2. Membership fees are non‑refundable.
  3. Where a member cancels, membership will continue until the end of the current membership period, and all benefits will remain available until that date.
  4. Notice of cancellation must be received no later than thirty (30) days prior to the membership renewal date.
    • If notice is received fewer than 30 days before renewal, the membership will renew for the following period and terminate at the end of that renewed period.
  5. CW reserves the right to terminate membership with immediate effect if a representative or individual member breaches any published CW policy, including (without limitation) the Code of Conduct, the Anti-Trust Policy Acceptable Use Policy or Diversity & Inclusion Policy or Privacy Policy which are incorporated herein by this reference and which can be found at:

  6. We may update these Terms and Conditions and our Policies at any time. Where feasible, we will consult with CW Members prior to making any changes to the Terms and Conditions and our Policies. In any case, we will notify Members of any such changes via e-mail and or post. In the unlikely event of a conflict between these Terms and Conditions and any of our Policies, these Terms and Conditions will apply.
  7. In the event of termination for breach, membership fees will be non‑refundable.
7. Referrals
  1. CW encourages members to refer organisations or individuals who may benefit from joining the CW community.
  2. From time to time, CW may operate referral or incentive schemes, the details of which (including eligibility, rewards, or recognition) will be communicated separately and may be varied or withdrawn at CW’s discretion.
  3. Referral schemes, where offered, do not form part of these Terms & Conditions unless explicitly stated.
8. Use of Branding and Logos / Intellectual Property
  1. Company Members are granted a non‑exclusive, royalty‑free licence to use CW logos subject to CW’s Branding Guidelines and solely to promote their membership of CW.
  2. Student Members may not use CW logos or branding, unless expressly agreed in writing by CW.
  3. CW reserves the right to withdraw permission for CW logo use if branding is used in breach of CW’s Branding Guidelines or improperly or inappropriately.
  4. Unless otherwise stated CW owns the copyright and any other intellectual property rights in all material on the CW website and in our publications (or are licensed to use the same). Materials include, but are not limited to, the design, layout, look, appearance, graphics, and documents on this website, as well as other content such as articles and other text.
9. Limitation of Liability
  1. We provide the Services for your own personal use, not for any commercial, business or re-sale purposes, and you agree that we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
  2. If we fail to comply with these Terms & Conditions, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms & Conditions or our negligence (that means that it is an obvious consequence of our breach, or that it was contemplated by you and us at the time you became a Member), but we are not responsible for:
    1. any loss or damage that is not foreseeable;
    2. any loss or damage arising from your use of Membership Benefits which are provided by an external provider / third party other than CW (provided that the loss or damage is not a result of a breach of these Terms & Conditions by us);
    3. you misusing the Website or any other part of the Services in any way (including you undertaking any inappropriate, unlawful or immoral activity and/or any activity which could harm CW and/or bring CW’s reputation or that of its members, officers or employees, into disrepute); or
    4. us or other CW members, acting on materials or communications which purport to have been made by or on behalf of you but which have been created or sent by (i) a third party purporting to act in your name, or (ii) a person who has lawful access to the Services but who exceeds his or her authority, regardless of whether such losses arise in contract, tort, negligence, breach of statutory duty or otherwise.
  3. Nothing in these Terms and Conditions shall exclude or limit any person’s liability where it would be unlawful to do so. This includes for death or personal injury caused by a person’s negligence, or any person’s liability for fraud.
  4. Except as specified in these Terms & Conditions, all express or implied conditions, terms, representations or warranties (whether implied by statute or otherwise) are hereby excluded to the maximum extent permitted by law.
  5. These Terms & Conditions do not and shall not affect your statutory rights as a consumer.
10. Articles of Association

Cambridge Wireless is a not‑for‑profit organisation owned by its members and governed by a Board elected by the Founder Membership. The Articles of Association take precedence over these terms and conditions where applicable.

11.       General
  1. These Terms constitute the entire agreement between you and CW. Any advertising or descriptions of the Services (for example, on our website) are published for illustrative purposes only and shall not form part of the Terms and Conditions.
  2. You agree that we may transfer our rights under these Terms and Conditions to any company, firm or person provided that your Membership will not be adversely affected because of such transfer. If we need to, we will contact you in advance of such transfer.
  3. Any failure or delay by us to action a breach by you of these Terms and Conditions shall not constitute a waiver of any rights and remedies we have in respect of such breach. For example (without limitation) if you miss a payment and we do not chase you, but continue to provide the Services, we can still require you to make the payment later.
  4. We shall not be responsible for any breach by CW or any third party, where such breach is caused by circumstances beyond our reasonable control. When we say “circumstances beyond our reasonable control”, we mean any act or event beyond our reasonable control and which is not attributable to any act or failure to take preventative action by us (including, for example, a terrorist attack or threat of terrorist attack, a natural disaster, a failure of public or private telecommunications networks or impossibility or the use of any means of public or private transport).If a breach if caused by circumstances beyond our reasonable control, we will contact you as soon as reasonably possible to notify you of it, and our obligations under these Terms and Conditions will be suspended for the duration of those circumstances.
  5. These Terms and Conditions govern the relationship between you and us. No other person shall have any rights to enforce any of the Terms and Conditions.
  6. Unless otherwise expressly stated in these Terms and Conditions, all notices from you to us should be sent by post (recorded delivery only) to CW’s Membership Department at St John’s Innovation Centre, Cowley Road, Cambridge, CB4 0WS. We may send any notice to you under these Terms and Conditions by email or by first-class or second-class post to the email address and/or postal address that we hold on file for you.
  7. We will do our best to resolve any disputes over these Terms and Conditions. These Terms and Conditions, their subject matter and their formation, are governed by the laws of England and Wales. However, if you are a consumer and resident of any European Union country, you will benefit from any mandatory provisions of, and legal rights available to you under the laws of that country. Nothing in these Terms and Conditions affects your rights as a consumer to rely on these local law mandatory provisions and legal rights.
  8. You and we both agree that these Terms and Conditions are subject to the non-exclusive jurisdiction of the courts of England and Wales. However, if you are a resident of any European Union country, you may also bring proceedings in that country.
  9. If you reside within the European Union, you may also be able to refer a dispute to the European Online Dispute Resolution (“ODR“) platform at http://ec.europa.eu/odr. The ODR platform is a web-based platform which is designed to help consumers who have bought products or services online. It provides access to independent alternative dispute resolution services which are usually free for you to use. We have discretion as to whether we will agree to a complaint being resolved through the ODR platform.
  10. In the event of a breach by these Terms and Conditions of any of your statutory rights in force from time to time, it is agreed that your statutory rights will always prevail.
  11. Each of the paragraphs of these Terms and Conditions operates separately. If a court finds part of these Terms and Conditions is illegal, the rest will continue in full force and effect.
