Cambridge Wireless (CW) is a company limited by guarantee (Company Number: 06529916), registered at: Peters Elworthy & Moore (PEM), Salisbury House, Station Road, Cambridge, CB1 2LA.

CW is a business membership organisation, set up and run by members for their benefit in promoting wireless, digital and related technologies. These terms and conditions form the basis of the contract through which Cambridge Wireless (CW, we or us) will deliver a service to you as a CW member (you). On becoming a member of CW, you are automatically agreeing to these terms and conditions and you are granting us the appropriate consent to handle your personal information in accordance with prevailing Data Protection legislation.

These conditions govern the administrative provisions relating to membership and to the benefits attaching to different categories of membership subject always to the Articles of Association.

1 Membership Levels
1.1  CW offers two levels of membership; Associate Membership or Founder Membership.

1.2  The cost of annual membership, both at Founder and Associate levels, increases on a sliding scale, depending on the number of full-time employees in your company. These fees are as published on the CW website (at https://www.cambridgewireless.co.uk/about/become-member/).

1.3  CW reserves the right to review and change these fees from time to time, at their discretion. Any changes to these fees will be published on the CW website at the above URL.

2 Membership Benefits
2.1  Membership is offered on a company basis and all employees are entitled to use the benefits of membership.

2.2  The benefits associated with the different membership levels are as outlined on the CW website (at https://www.cambridgewireless.co.uk/about/become-member/)

2.3  CW reserves the right to review and change the benefits associated with each membership package at their discretion. We will notify existing members of any changes to the benefits associated with their membership.

3 Membership Applications
3.1  All membership applications should be submitted online through the CW website.

3.2  Applications for membership will be reviewed by Cambridge Wireless (CW) who reserve the right to reject applications at their discretion.

3.3  All member organisations must have a named individual as a Key Contact.

3.4  Members will be invited, during the application process, to complete a company profile that will appear on the CW website. The Key Contact will have the right to access and make updates to this company profile on the CW website, in addition to any marketing contacts.

3.5  All information provided to CW about you and your organisation must be true and accurate at the point of applying. CW cannot be held responsible for accuracy of information posted by members.

3.6  In the event of a change of circumstances such as the size of the organisation crossing membership cost thresholds, key contact change of employer, change of contact details, etc., you must notify CW, so that our records are up to date.

3.7  Any questions regarding membership packages and benefits, the application process or these terms and conditions should be directed at membership@cambridgewireless.co.uk

4 Membership Payments, Renewals and Cancellations
4.1  Annual membership fees become due immediately on members joining the network and then again, annually, on each anniversary of the member joining the network.

4.2  At the point of renewal of your membership, your renewal payment is confirmation of the continued acceptance of this contract. You may not transfer your membership or any of your membership rights and obligations under these terms and conditions to another company or organisation.

4.3  Payment of membership fees can be made by all major credit cards (including AMEX), BACs, CHAPS and cheque. If membership payment remains outstanding, we will notify the key contact by telephone or email.

4.4  We offer a seven working days’ cooling off period for new members, effective from the day your application is accepted. This will allow you to cancel your membership without any penalty.  If you wish to cancel your new member subscription, you must notify us within these seven working days in writing, by letter or email.

4.5  In the event that CW does not receive payment of membership fees from any new member within three (3) months of their joining date, CW reserves the right to terminate their membership with immediate effect and withdraw with any benefits associated with that membership (including, but not limited to, attendance at any forthcoming member events).

4.6  Membership fees are non-refundable. No refunds will be given in the event of membership cancellation or termination.

5 Cancellation and Termination of Membership
5.1  Members are free to cancel their membership at any time. Request for cancellation of membership should be made in writing or by email to membership@cambridgewireless.co.uk. Any benefits associated with that membership would be withdrawn with immediate effect on cancellation (including, but not limited to, free attendance at any future events).

5.2  CW reserves the right to terminate membership if a representative from a member organisation violates and of the CW Policies, including the Acceptable Use Policy and Diversity & Inclusion Policy, which can be viewed at https://www.cambridgewireless.co.uk/CW-Policies/

6 Use of Branding and Logo(s)
6.1  Members are granted a non-exclusive, royalty free, license to use the CW Logos in your company’s advertising, literature and websites, solely in connection with the promotion and discussion of your membership of the CW network.

6.2  This license is granted to you on the following conditions:

a) You may only use The Logos and CW name in line with the CW Branding Guidelines, as provided on request from marketing@cambridgewireless.co.uk. You acknowledge and agree that it is your responsibility to remain informed about, and immediately comply, with any changes we may make in the CW Branding Guidelines that affect your use of The Logos.

b) You may not assign or sub-license the license granted by this Agreement without our prior written consent. Nothing in this Agreement grants you, or authorises you to grant to any other person, firm or corporation, any right to use The Logos in any way or by any means or manner.

6.3  You must notify CW in advance of any intention to use the logos and branding in any of your material or websites. Please contact marketing@cambridgewireless.co.uk.

6.4  CW reserves the right to withdraw the license granted by this agreement and request the removal of the CW logo, name and branding from any of your material or websites if it feels that they are being used improperly or inappropriately.

7 Variation of Terms & Conditions
7.1  These terms and conditions may be revised from time to time. Members will be notified of any changes to these terms and conditions and any new versions will be posted on the CW website at https://www.cambridgewireless.co.uk/CW-Policies/membership-terms-conditions/ This version was created on 5 April 2018.

8 Current Articles of Association
8.1  CW is a not-for-profit organisation that is owned by its members, with a governing board that is elected by the membership. The articles of association that govern CW can be found at this link.
